SUMMARY:Structural presumptions in merger control?
DESCRIPTION:There is a debate in both the US and Europe about the principles of merger control. One view is that we should move towards having more presumptions in merger reviews\, and then move partly away from a pure effects-based approach. Tommasso Valletti is proposing such a shift in the procedures for merger control. He is professor in economics at Imperial College in London\, adjunct professor at Norwegian School of Economics and BECCLE\, and a former chief economist at DG COMP. \nIn this seminar he will present his view\, where he argues that there should be more structural presumptions in merger control. SUMMARY:Mergers and Demand-Enhancing Innovation
DESCRIPTION:  \nCANCELLED! (Due to cancelled flight) \nYassine Lefouili from the Toulouse School of Economics will give a seminar on Mergers and Demand-Enhancing Innovation. This is a joint seminar of the Centre for Business Economics (NHH) and BECCLE.  \n  \n  \n  \nAbstract \nWe study the impact of horizontal mergers on merging firms’ incentives to invest in demand-enhancing innovation. In our baseline model\, we identify four effects of a symmetric merger on these incentives: the innovation diversion effect\, the margin expansion effect\, the demand expansion effect\, and the per unit return to innovation effect. We offer sufficient conditions for a merger to reduce or raise merging firms’ incentives to innovate in the absence of spillovers and efficiency gains in R&D\, and find that a comparison between the innovation diversion and price diversion ratios is informative about the impact of a merger on innovation. \n  \nThe seminar will take place on the 16th of May from 12.15 to 13.30 pm at the Department of Economics at NHH\, room E209/210.

His research field is competition policy\, and he served as the Director General of The Norwegian Competition Authority 2016-22. He has also done research and policy work on the energy market\, now recently he was the leader of the Energy Commission that delivered its report in February this year (NOU 2022:3). \n  \n  \n  \n \nRonnie Belmans received Ronnie Belmans is emeritus full professor at KU Leuven. His research interests include smart grids\, security of energy supply\, techno-economic aspects of the liberalisation of the electricity market and energy system modelling. He was co-founder and chairman of EnergyVille (until 2021)\, a research collaboration in Genk specializing in sustainable energy and intelligent energy systems. From 2017-2022\, he was chairman of the board of directors of the VREG\, the Flemisch regulator for electricity & gas markets. Ronnie is also honorary chairman of the board of directors of the Belgian transmission system operator. \n  \n  \n \nVaido Poldoja is a Senior Legal Officer at the Competition and State aid directorate of the EFTA Surveillance Authority (ESA). Among other tasks\, Vaido handles adopting ESA’s new Guidelines on State aid for Climate\, Environmental protection and Energy. Prior to joining ESA\, Vaido worked in various state aid units at the European Commission (DG Competition) and spent several years in private practice at a pan-Baltic law firm in Estonia. \n  \n  \n \nLeigh Hancher is Professor of European Law at the University of Tilburg. She is a part-time Professor at the Florence School of Regulation within the European University Institute and the Director of the FSR Energy Union Law Area. Her research interests include energy market regulation\, EU state aids and energy market governance. She has also been a Professor at the Erasmus University in Rotterdam\, a Visiting Professor at the University of Calgary\, Canada\, Head of Legal at the Energy Charter Secretariat in Brussels and a member of the Dutch Academic Advisory Council (WRR). \n

SUMMARY:Finn/Nettbil saken: Lærdommer fra Høyesteretts dom
DESCRIPTION:I november 2020 forbød Konkurransetilsynet Schibsteds oppkjøp av Nettbil\, basert på at det ville medføre en betydelig begrensning i effektiv konkurranse i markedet. Konkurranseklagenemnda ga i mai 2021 Konkurransetilsynet medhold. Partene anket til Gulating lagmannsrett\, og de fikk i mars 2022 medhold. Staten anket saken inn for Høyesterett\, og Høyesterett forkastet i februar 2023 anken. Det var hovedsakelig basert på at Finn og Nettbils produkter ikke konkurrerte med hverandre. \nI dette seminaret ønsker vi å diskutere Finn/Nettbil saken\, og hvilke implikasjoner Høyesteretts dom får for fremtidige saker om foretakssammenslutninger. SUMMARY:Market investigation tool in Norway?
DESCRIPTION:Market investigation tool in Norway?\n \nIn recent years\, there has been an ongoing debate about new competition law tools that could complement existing competition law tools. In the EU both the Digital Markets Act (DMA) and the Digital Services Act (DSA) have been heavily debated. At the same time there are countries such as Iceland and United Kingdom that already for many years have had a competition tool called “market investigation”. This is a tool that makes it possible to investigate a particular industry\, and propose measures to correct any adverse effect on competition even if there is no established violation of the competition rules. Earlier this year\, the Norwegian Ministry for Industry and Fisheries proposed that the Norwegian Competition Authority should be given the authority to perform market investigations\, similar to the CMA’s model. So far such a new competition tool has not been implemented. The seminar invites to a discussion on the pros and cons of such a new competition tool. To do this\, we have three distinguished speakers: \n\nSenior Director Daniel Gordon\, Competition & Markets Authority\, United Kingdom\nSenior Advisor Hans-Petter Håvås Hanson\, Norwegian Competition Authority\nPartner Kristin Hjelmaas Valla\, Kvale law firm\n\nDaniel Gordon will explain the market investigation tool that has been used in the UK for many years\, while Hans-Petter Håvås Hanson will discuss the main reasons for introducing such a competition tool in Norway. DESCRIPTION:Seminar om inngrep mot fusjoner og oppkjøp\nGriper Konkurransetilsynet for ofte inn mot fusjoner og oppkjøp i Norge\, eller burde det blitt grepet enda oftere inn mot fusjoner og oppkjøp? Internasjonalt foregår det en debatt om dette temaet\, der både konkurransejurister og konkurranseøkonomer har ulike synspunkter på om dagens praksis er for streng. Det er også flere eksempler på at inngrep er blitt prøvet ut i rettssystemet. Denne internasjonale debatten er også relevant for Norge\, da vi har harmonisert vår inngrepsterskel med den som er i EU. \n \nDet er også en debatt i Norge om dette temaet\, blant annet som følge av at to forbudsvedtak fra Konkurransetilsynet før sommeren ble opphevet av hhv Konkurranseklagenemnda (DnB/Sbanken\, rettskraftig vedtak) og Gulating lagmannsrett (Finn/Nettbil\, anket til Høyesterett). DESCRIPTION:On the 9th of June\, The Bergen Centre for Competition Law and Economics and the Research Group for Natural Resource Law\, Environmental Law and Development Law hosted a hybrid seminar on joint purchasing of energy with a special focus on competition law barriers and geopolitical implications of joint purchase of gas. \nThere is a public debate now regarding the function that joint gas procurement might play in energy procurement in Europe. DESCRIPTION:Tomaso Duso will present his empirical study of EU merger control\, done jointly with Paula Affeldt\, Klaus Gugler and Joanna Piechucka. They analyze more than 1000 mergers scrutinized by the European Commission between 1980 and 2019.  One finding from their study is that they are concerned about the Commission’s merger enforcement being too lax. \nTime: May 24 2022\, 12.15-13.30 \nVenue: Room E209/210\, Norwegian School of Economics \nThis is a joint seminar with Center for Business Economics (CBE) at NHH \n  \nDownload paper here. \n  \nAbstract: Worldwide\, the overwhelming majority of large horizontal mergers are cleared by antitrust authorities unconditionally. The presumption seems to be that efficiencies from these mergers are sizeable. We calculate the compensating efficiencies that would prevent a merger from harming consumers for 1\,014 mergers affecting 12\,325 antitrust markets scrutinized by the European Commission between 1990 and 2018. Compensating efficiencies seem too large to be achievable for many mergers. Barriers to entry and the number of firms active in the market are the most important factors determining their size. We highlight concerns about the Commission’s merger enforcement being too lax.

SUMMARY:The role of privacy in competition law
DESCRIPTION:Bergen Center for Competition Law and Economics (BECCLE)\, the Research group for EU/EEA Commercial law and the Research group for Information and Innovation law\, are pleased to announce a guest lecture by Ms. Arletta Gorecka\, PhD Candidate in Law at the University of Strathclyde\, Glasgow. In the lecture\, Ms. Gorecka will elaborate on the role of privacy in competition law by presenting two recent cases. The lecture will take place 23. September via Zoom (the link is published below). \n“The relationship between competition law and privacy is still seen as problematic with academics and professionals trying to adequately assess the impact of privacy on the competition law sphere.” Indeed\, it is not difficult to agree with Ms. Gorecka\, whose research is dedicated to the increasingly more interesting interplay between competition law and personal data protection.In June\, Ms Gorecka published a chapter “Is “Privacy” a means to protect the competition or advance objectives of innovation and consumer welfare?” in Maria Tzanou (Ed.)\, Personal Data Protection and Legal Developments in the European Union Hershey\, PA\, IGI Global\, 2020. \nMs. Gorecka will elaborate on the topic by examining two recent cases. The first concerns Facebook\, an online social media and social networking service that does not require any further introduction. On 23 June 2020\, the German Federal Court of Justice (Bundesgerichtshof) provisionally confirmed the allegation of Facebook abusing dominant position as a result of Facebook’s terms of service that allow for the processing and use of user data\, which are collected online outside the Facebook platform. The German Competition Authority (Bundeskartellamt) prohibited Facebook from processing such data without additional consent given by private users. On 23 June the antitrust division of the Federal Court of Justice decided that the Bundeskartellamt’s prohibition can be enforced. \nThe second case concerns the European Commission’s in-depth investigation into the proposed acquisition of Fitbit by Google. Fitbit is an American company active in the development\, manufacturing and distribution of wearable devices (both smartwatches and fitness trackers) and connected scales in the health and wellness sector\, as well as in the supply of related software and services. As provided in the press release\, the Commission is concerned that the proposed transaction would further entrench Google’s market position in the online advertising markets by increasing the already vast amount of data that Google could use for personalisation of the ads it serves and displays. As Executive Vice-President Margrethe Vestager\, responsible for competition policy\, clarified: “The use of wearable devices by European consumers is expected to grow significantly in the coming years. This will go hand in hand with an exponential growth of data generated through these devices. This data provides key insights about the life and the health situation of the users of these devices. Our investigation aims to ensure that control by Google over data collected through wearable devices as a result of the transaction does not distort competition.” \nThe lecture will take place via Zoom. Gaudin will present his paper entitled “Input price discrimination\, demand forms\, and welfare’’ (joint work with Romain Lestage). The paper studies industries in which retailers face asymmetric input prices from their upstream suppliers\, such as the Norwegian grocery market. \nPlease note that the venue is the Department of Economics\, University of Bergen (Fosswinckelsgate 14)\, Seminar room 327 (3rd floor). \nAbstract: “In this paper\, we analyse the effects of input price discrimination by an upstream monopolist selling to firms with various degrees of efficiency. When downstream markets are independent\, we first study whether the upstream monopolist has an incentive to reduce or to increase the relative cost difference amongst downstream firms. Then\, we examine the impact of input price discrimination on output and welfare. A key determinant of the effects of input price discrimination on prices\, output\, and welfare is the sum of demand curvature and pass-through elasticity. We apply our findings to the set of demand forms with constant pass-through rates\, as well as other demand forms. We also discuss the cases of demand asymmetries across markets and price competition downstream”. \n  \n

Seminaret finner sted fra 12:15-14:00 i Auditoriet i Jusbygg II på det juridiske fakultet ved Universitetet i Bergen. Forsker Malin Arve (NHH) vil snakke om hvorfor dette er økonomisk lønnsomt og Ragnhild Kristina Ølstad (Inventura) vil presentere det juridiske handlingsrommet og hvordan man kan stimulere til økt konkurranse og deltakelse. Til sist vil representanter fra Sykehusinnkjøp presentere hvordan de legger til rette for bred deltakelse både fra lokale og nasjonale bedrifter i sine utlysninger.  \nEt argument for å sentralisere innkjøp er stordriftsfordeler\, men faren er at små og lokale bedrifter ikke får mulighet til å delta i konkurransen. \nI fjor fikk Kjetil Smørås og hotellkjeden De Bergenske erfare dette da de ikke fikk delta i konkurransen om en hotellavtale med Helse Bergen. Smørås fikk støtte fra både politikere og Konkurransetilsynet. Denne gangen i en anbudskonkurranse om hotelltjenester utlyst av Universitets- og høgskolerådet. \nDette seminaret tar for seg hvorfor det er økonomisk lønnsomt å inkludere små og mellomstore bedrifter i anskaffelsesprosessen\, hva loven sier og det juridiske handlingsrommet\, samt vil Sykehusinnkjøp bli brukt som en konkret case for hvordan dette kan gjøres i praksis.

Prof. Nuno Cunha Rodriguez\, Jean Monnet Chair in European Integration at the University of Lisbon\, Portugal\, on the Extraterritorial Effects of EU Economic Law – EU Law Beyond the Union\, at 2nd of Oktober\, from 09:00 to 10:00\, in Auditorium 4\, Law Building 1\, University of Bergen. \nThe application of EU Economic Law considers an appropriate link with the territory of the Union in respect to the basic principle of territoriality enshrined in public international law. However\, in some cases\, public international law allows States to exercise their jurisdiction extraterritorially. Including enforcing decisions of its institutions elsewhere\, and which has caused stir in Norway for example in the case of ACER in energy matters\, but also other areas such as financing and banking markets. \nOver the years\, EU Economic law has been expanding its territorial application\, by applying exceptions to the principle of territoriality and adding new elements of connection. \nThis phenomenon – that we designate the “territorial expansion of EU Economic law” – can be noticed in different branches of law\, like competition law – which was reinforced after the Intel case (case C-413/14 P) -\, Environmental Law\, Food and Consumer Law\, Data Protection and International Trade Law. \nAlthough it’s clear that\, according to the inherent territorial scope of TFEU rules\, the EC is not competent to assess an undertaking established outside the EU\, it’s also clear that the final decisions of the EC or the ECJ can produce jurisdictional effects in third countries. \nAll these topics will be analyzed at the conference. \nThis BECCLE Seminar will take place in Auditorium 4 at the Law Faculty of the University of Bergen\, located at the right-hand side when you enter the main entrance of the Faculty\, from 09:00 to 10:00. \nFor Norwegian Lawyers: Dersom det er nok interesse for dette\, vil kursbevis i etterkant av kurset bli utstedt til deltakerne til bruk for registrering av etterutdanning. SUMMARY:Lunchtime lecture on the "Fosen Line" saga
DESCRIPTION:Vidar Nordli-Mathisen (Unsplash). \n  \nThe Research Group for EU/EEA\, Competition and Market Law are pleased to invite you to the first of three Lunchtime Lectures being held this Autumn\, about the “Fosen Line” saga. The lecture will be held by Ragnhild Kristina Ølstad and will take place at the Faculty of Law\, University of Bergen. \n\n\n\n\n\n\n\nRagnhild Kristina Ølstad will talk about the main hearing in the Fosen Line case\, which is currently pending before the Supreme Court of Norway. The case concerns the conditions for obtaining compensation for positive contract interest in Norwegian public procurement law. \nThe case caused a real stir after Frostating Court of Appeal decided to effectively ignore a judgement from the EFTA Court regarding the interpretation of the Remedies Directive – the first time such a rejection has come from a lower instance court in Norway. The case made controversy again when the Supreme Court of Norway decided to ask the EFTA Court for a second judgement in the very same case. \nThe case raises questions regarding Norway’s obligations under the EEA agreement\, the understanding of the Remedies Directive and the relationship between national courts in the EFTA States and the EFTA Court. The topics raised are thus highly relevant to all three EU/EEA courses on offer this term\, but should also be of interest for students in the 2nd\, 3rd and 4th year of study. \n \nRagnhild Kristine Ølstad\, Inventura. \nRagnhild Kristina Ølstad works with public procurement law in Inventura AS. She wrote her master’s thesis of law at UiB in the spring of 2018 about damages for positive contract interest in procurement. The thesis focuses on the Fosen Line case\, the term “material error” in Norwegian law in light of the remedies directive.

In this development one of the relatively new actors that has erupted with strength in the last decade is the production of electricity by offshore wind turbines. Offshorewind power is no longer a theoretical possibility but an economic reality as the price per megawatt hour produce is reduced\, the turbines become more efficient\, the technology allows for them to be deployed further into the sea and there appears to be less issues of social unacceptance to this technology. SUMMARY:Guest lecture: State aid and tender procedures
DESCRIPTION:Photo: Avda / avda-foto.de\n  \nBECCLE has the pleasure of inviting you to a seminar with Cees Dekker\, Tuesday 12 March\, on state aid and the tender procedure \nDoes a Tender Exclude an Article 107(1) TFEU Advantage? \nOne of the elements of the concept of State aid as referred to in Article 107(1) TFEU is the element of advantage. The element concerns an economic advantage that an undertaking could not have obtained under normal market conditions. A common opinion is that a tender procedure regarding the purchase or sale of goods or services by a government body guarantees those ‘normal market conditions’. It appears however that the European Commission in several occasions considered transactions between government bodies and undertakings as state aid even if that undertaking is selected by a tender procedure\, for instance regarding the rollout of a charging pole infrastructure or the operation of a sports infrastructure. Furthermore\, for a state aid measure to be compatible with the internal market the use of a tender procedure sometimes is required. \nIn this seminar\, Cees Dekker will discuss these relations between state aid and tender procedures and the different approaches by the European Court of Justice and the European Commission. \nCees Dekker is a partner with law firm Nysingh in The Netherlands and has 30 years of experience in EU and Competition Law. In his practice focusing on state aid law\, he advises government bodies and undertakings how to shape financial relations in such a way that they do not form illegal state aid. He has been involved in several state aid notofcation procedures with the European Commission. Apart from being a lawyer in private practice he is a guest lecturer in state aid law at the University of Amsterdam\, a member of the board of editors of the journal Markt & Mededinging (“markets and competition”)\, as well as of the board of editors of Tijdschrift voor Staatssteun (Journal for State aid). He also is a member of the advisory committee on competition law of the Dutch Confederation of Netherlands Industry and Employers (VNO-NCW) and of the advisory committee on competition law of the Netherlands Bar Association. SUMMARY:Seminar om sukkeravgifter i lys av statsstøtteregelverket
DESCRIPTION:BECCLE og Forskergruppen for konkurranse- og markedsrett har gleden av å invitere til et seminar om sukkeravgifter i lys av statsstøtteregelverket. \nEtter at forslaget til statsbudsjettet for 2019 ble lagt frem\, har problemene med å skille mellom en marsipangris og en marsipanpølse i statsstøtteretten nok en gang fått oppmerksomhet. De omstridte og kraftige økningene i avgiftene på sjokolade- og sukkervarer\, og alkoholfrie drikkevarer\, ble klaget inn til EØS-avtalens tilsynsorgan\, ESA\, med den begrunnelse at avgiftene utgjør statsstøtte i strid med EØS-avtalen. \nMens man venter på ESAs vurdering er det interessant å få med seg hvordan enkelte EU-medlemsstater har utformet avgifter som også omtales som sukkeravgifter. Den 24. april 2018 godkjente EU-kommisjonen den irske sukkeravgiften; den danske er fortsatt under vurdering. \nPå dette seminaret vil Marteen Aalbers redegjøre for hvordan EU-kommisjonen ser på sukkeravgifter/sukkerskatter\, og Malgorzata Cyndecka skal gi en kort presentasjon av den norske ordningen. \nTid: Onsdag 21. november kl. 12.00 – 13.30\nSted: Seminarrom 2\, Det juridiske fakultet\, UiB \nPåmelding:Av hensyn til matbestilling er det påkrevd med påmelding til Malgorzata.Cyndecka@uib.no senest fredag den 16. november 2018. \nVel møtt.
